(a) Arthur Lawrence has learned of the availability of work at with or through athird party referred to as “Proprietary Client” who has engaged Arthur Lawrenceor for whom Arthur Lawrence is proposing to locate temporary or permanent staffing of the Proprietary Client’s project according to the training, skills,abilities and experience established as requirements by the Proprietary Client.
(b) Arthur Lawrence has examined Candidate’s background for providing services toclients to “Proprietary Client” and is in discussion with Candidate with theeventual objective of referring candidate to the Client for further evaluationand to provide services, and has negotiated a rate for those services andperform otherwise as agreed to between Arthur Lawrence and Candidate. Candidate agrees that he/she will interview with the Client, having been referred to thatClient by Arthur Lawrence. This process involves discussion and exposure ofspecific “Proprietary Client” names & business contacts that have been cultivated by Arthur Lawrence over the years with considerable investment.
(c) Candidate agrees that for a period of one year from the date of providing such“Proprietary Client” names and related business contacts and other relatedinformation or for one year from the date of any continuing communications,negotiations or similar follow-up to such discussion with Arthur Lawrence orProprietary Client, Candidate shall not circumvent Arthur Lawrence and directly or indirectly contact or provide or attempt to provide (or advises others ofthe opportunity to provide) any services to Arthur Lawrence “ ProprietaryClient” to which Candidate has been introduced or about which Candidate hasreceived information through Arthur Lawrence without first obtaining theexpress written permission of Arthur Lawrence under a separate referral agreement which is being negotiated between Arthur Lawrence and Candidate. Incase such an agreement is not executed, Candidate agrees that this agreement will be final and binding.
(d) In case Candidate violates the terms of this Non Circumvention agreement Candidate agrees to pay a finder’s fee and commission to Arthur Lawrence. Thisprovision may be waived only on a case-by-case basis in writing by an executive officer of Arthur Lawrence in its sole discretion, prior to Candidate taking the action for which waiver is sought. The parties agree that such finder’s fee shall be paid to Arthur Lawrence immediately upon commencement of services to “ProprietaryClient” and shall be USD $ 50,000. In addition, a commission shall be paid at15% of Candidate’s billings to Client each month payable to Arthur Lawrence within 10 days at the end of each month for the full duration of the contract and subsequent contracts with “Proprietary Client”.
(e) Candidate agrees that the terms of this agreement are confidential and shallnot be disclosed to any third party including “Proprietary Client” under any circumstances.
(f) This Agreement shall be governed by the laws of the State of Texas, UnitedStates of America, except for its choice of law rules, regardless of where the work is performed. Candidate agrees to the exercise of personnel jurisdiction over it by the courts in such state to the full extent permitted by law.

The resource should be techno-functional to be able to directly interact with vendors and business counterparts to help implement a 3rd party product to interact with PeopleSoft Recruitment.
